Our “transaction team” provides value by using relevant experience representing private companies, individuals, investors, and lenders, in a multitude of buy-side, sell-side, joint venture, and other complex transactions.  We leverage our experience and deeply rooted contacts in parallel professional service industries – including bankers, investment advisors, tax and accounting advisors, and business valuation experts – to maximize the return to our clients’ net outcome.  Our team’s unity and sense of urgency are recognized priorities, and we strategically staff M&A matters to collectively ensure expediency and efficiency.

On the sell-side, we counsel clients through pre-transaction planning and corporate structuring, combining expertise through the seller’s aggregate team of advisors (and assembling that team whenever appropriate), and seeing the prospective transaction through closing.  We often continue to provide clients with counsel and support post-closing, including estate, tax, and wealth planning.

With respect to buy-side engagements, we are commonly engaged pre-LOI (and lead negotiations of both business and legal terms), and guide clients through the transaction process with an emphasis on transparency, protection, and confidence.  Our experience in representing private companies of various shapes and sizes enables us to creatively overcome obstacles – such as inexperienced sellers and/or SBA financing requirements – and we’re uniquely prepared to preemptively navigate a wide variety of transaction processes.
